1. Acceptance of Terms

By accessing or using Semaflow's messaging platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part, you may not use our Service.

2. Service Description

Semaflow provides cloud-based messaging solutions including but not limited to SMS, RCS, and omnichannel communication tools for businesses.

3. User Accounts

To access certain features, you must register an account. You agree to:

• Provide accurate and complete information
• Maintain account security
• Be responsible for all activities under your account

4. Acceptable Use

You agree not to use the Service to:

• Violate any laws or regulations
• Send spam or unsolicited messages
• Transmit harmful or illegal content
• Interfere with Service operations
• Impersonate others

5. Payments and Billing

For paid services:

• Fees are as stated on our pricing page
• Payment is due immediately unless otherwise agreed
• We may suspend service for non-payment

6. Intellectual Property

All Service content, features, and functionality are owned by Semaflow and protected by intellectual property laws. You may not copy, modify, or create derivative works without our permission.

7. Termination

We may terminate or suspend your account immediately for violation of these Terms without prior notice or liability.

8. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

Semaflow shall not be liable for any indirect, incidental, special, consequential or punitive damages resulting from your use of or inability to use the Service.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, including:

• The Kenya Information and Communications Act (No. 2 of 1998)
• The Data Protection Act, 2019
• The Consumer Protection Act, 2012

10.1 Dispute Resolution

Any disputes shall first be subject to mediation in Nairobi. If unresolved within 60 days, either party may institute proceedings in the High Court of Kenya.

10.2 International Provisions

For EU users: This agreement shall be interpreted in accordance with GDPR (2016/679) where applicable.

For US users: California residents may request disclosure under CCPA (1798.100-1998.199).

11. Changes to Terms

We reserve the right to modify these Terms at any time. Your continued use after changes constitutes acceptance.
